Jacobs Law Group Racks Up Another Win For Business Rights
On February 6, 2015, in Chancery court of Ocean county, Jacobs Law Group lawyer, Neal Jacobs, decisively defeated the attempt by one of two founding members of an LLC to have the company summarily dissolved due to an alleged deadlock. As Mr. Jacobs noted for the court, the defendant appeared to have manufactured the deadlock for the sole purpose of competing with the company. The court, under such circumstances, refused to approve the summary dissolution. Indeed, the court found that both members owe fiduciary duties to the company. And under New Jersey law, a member of a member managed LLC cannot compete with the company.
Mr. Jacobs was further successful on defeating the defendant’s attempt to disqualify Jacobs Law Group from representing its client. After the hearing, the judge noted on the record that the hearing revealed that there was not a scintilla of evidence supporting disqualification.
