Matthew Cole Guest Lectures About Securities Regulations at Drexel University

For the fourth consecutive year, Matthew Cole, Jacobs Law Group Corporate and Securities Chairman, has lectured on Proxy Statements and Executive Compensation Issues to the Securities Regulation Class, Kline School of Law, Drexel University. During his presentation April 8th , Mr. Cole focused on:

• The different types of compensation that public companies pay to their key executives, including incentive compensation.
• Securities and Exchange Commission requirements regarding executive compensation disclosure.
• Board Compensation Committees, Independent Compensation Consultants and their roles in the executive compensation process.
• The impact of institutional investors, shareholder activists and proxy advisory firms such as ISS on executive pay practices.
• The review and comment process of the Securities and Exchange Commission with respect to public company compensation disclosure.

In his practice, Mr. Cole regularly counsels public and private companies on securities law matters, including SEC and stock exchange compliance, corporate governance, and private placements.
