  • The estate of a company founder sought to enforce an abandoned Shareholder Agreement. Jacobs Law Group tried the case and proved the Shareholder Agreement had been abandoned. The firm won an order directing the company be sold and the proceeds distributed pro rata to the shareholders. If enforced, that agreement would have bankrupted the company.
  • Two longtime business partners from the Middle East had a falling out. The firm represented the minority shareholder in taking over a division of the company in exchange for shares in the overall enterprise. Jacobs Law Group fashioned a settlement by formulating a division of the company via a spinoff structure. Other joint business assets and shares were resolved at the same time.
  • The firm acted as counsel for the parent corporation of an oriental rug and furniture business operated by an ex-husband and wife. The business partners had a difficult time separating their personal and business lives and were not able to resolve business issues without a tremendous amount of negotiation. Jacobs Law Group was essential in the workout of the company and, at the same time, negotiated the spin off.
  • Jacobs Law Group represents well known doctors that desire to leave their practice but are bound by certain terms in the written practice agreements. The firm identifies certain areas of leverage and uses these areas to negotiate a resolution to the agreement terms that allow the doctors to leave and commence working immediately after departure.
